RED FEEDBACK AND SUBMISSION POLICY
RED always enjoys hearing from each and every one of our users. RED also sincerely appreciates your passion about all things RED. RED’s company policy, however, does not allow us to accept or consider any unsolicited ideas, suggestions, proposals, or materials in any form (“Submissions”). We have this policy to avoid potential misunderstandings when RED’s products, services or features might appear to be similar or identical to ideas submitted to RED.
TERMS OF IDEASUBMISSIONSIn the event that anyone desires to submit an idea to RED, please understand that RED will treat your submission in the following manner, regardless of what your submission says:
- Your submission, regardless of how detailed, will be treated as non-confidential and non-proprietary;
- Your submission does not bind RED in any way (contractual or otherwise, e.g., we do not have to treat your submission as secret or confidential);
- RED may not be able to acknowledge receipt of your submission and is not obligated to return to you anything you send RED; and
- RED may use, distribute, or disclose all or any portion of your submission freely for any purpose and without compensation to you.
FEEDBACKWhile this policy does not allow us to consider your unsolicited ideas, RED welcomes any and all feedback on existing products, services, or features. Any feedback you do provide regarding existing products, services or features is also non-confidential and non-proprietary. RED may use any feedback you provide freely and without compensation or acknowledgment to you or to anyone else.
SHOT ON REDSUBMISSIONSBy submitting your Shot on RED Submission to RED, you agree and hereby do grant Red.com, Inc. and its affiliates (“RED”), the non-exclusive right and license to use and display the motion picture(s) or still photograph(s) submitted by you (“Material”) on www.red.com, all RED online and print marketing, in all RED social media, as part of any RED Reel, and in any media or medium now known or hereafter devised, for an unlimited number of exhibitions in perpetuity.
By way of your submission of the Material, you represent and warrant that: (i) you have full right, power and authority to enter into and grant the rights set forth herein, and by granting the rights herein, it is not and will not be in violation of the terms of any agreement or understanding with any other party; (ii) you own or control 100% of the copyrights in the Material; (iii) the Material does not and will not infringe upon the rights or interests of any third party or break any laws; (iv) you have obtained all necessary permissions, model/participant releases and consents including but not limited to all person and representation of person, locations, video and musical elements, master recordings and synchronization rights.
Further, as part of your submission, you specifically agree to indemnify, defend and hold RED, its affiliates, officers, directors, and employees harmless from and against any claim, demand, action, damages, loss, expense (including reasonable attorneys’ fees) and other liabilities arising out of RED’s use of the Material, including but not limited to claims of copyright infringement, misappropriation of name or likeness, or invasion of privacy or the right of publicity. Any action arising out of or relating to this Agreement will be brought exclusively in the state or federal courts located in Orange County, California, and the parties specifically agree to be subject to the personal jurisdiction of said courts and expressly waive their right to have such matter brought or tried anywhere else in the world.
